PODCAST GUEST CONSENT FORM

This agreement, between LINDA J. HANSEN and PROSPERITY 101, LLC and PROSPERITY 101® PODCAST (“Host”) and

(“Guest”), sets forth the terms and conditions for the Podcast Interview (“Agreement”).

Host and Guest agree to following terms:

PODCAST GUEST EXPECTATIONS, RESPONSIBILITIES & SERVICES
Guest agrees to participate and provide an Interview (as defined below) for the PROSPERITY 101® PODCAST and agrees to the following expectations, responsibilities and services:

• Interview. Guest agrees to share their story and/or expertise/knowledge with the Interview Host for the Event in an interview that will be approximately twenty to sixty (20-60) minutes in length (“Interview”). Guest agrees to be available for up to sixty (60) minutes for the Interview.

• Title and Topic. Guest agrees that the title of the Interview will be determined by the Interview Host. Guest agrees to present the topic and content that was discussed and agreed upon in advance with the Interview Host.

• Recording. Guest agrees to the interview being pre-recorded and aired/published by video/audio at a later date to be determined by the Interview Host. Guest agrees that the Interview Host may use Guest’s voice and likeness.

• Editing. Guest understands that the Host reserves the right to edit the Interview recording for clarity, length, or other necessary changes, and that certain sections may be edited out prior to airing. Such determinations shall be made in the Host’s sole discretion.

• Interview Materials. Guest understands that the Host reserves the right to edit any interview handouts and other materials agreed upon in advance with the Interview Host (“Interview Materials”) for typos, accuracy and length. Guest agrees that the Interview Materials that Guest submits are original materials and that their use will not infringe upon the intellectual property rights of others, including copyrights and trademarks. Guest understands that Guest may use and share the information and knowledge used to prepare the Interview Materials in their business and otherwise, now and in the future, without any restriction.

• Sound Quality. Guest agrees to follow the guidelines for sound quality provided by the Host to the extent possible to ensure the best possible sound quality for the Event.

• Information to be Provided to Host. Guest agrees to email all Interview Materials to the Host at linda@prosperity101.com at least four (4) days prior to the Event. (or other agreed upon timeframe). Days means calendar days unless otherwise agreed upon in writing between the Guest and the Host.

• Biography, Title, and Headshot. A short biography and title will be read, in part or in full, in the Interview introduction and may possibly be provided in the Event's show notes. Headshot may be included in promotional materials.

• Freebie. If the Guest chooses to provide a freebie (discount, download, etc.) to the audience, Guest understands that it is to be approved in advance by the Host. Guest will provide the Host with the name, details, and directions as to how the audience can access the free gift as a part of the Interview Materials.

• Links. Guest agrees to provide the Host with any links to Guest’s website, social media, free gift opt-in, etc. that the Guest would like to be included in the show notes.

HOST’S RESPONSIBILITIES
Guest understands that the Host agrees to organize the logistics for the Interview, including the following responsibilities:

• Audio/Visual Logistics. Guest understands that the Interview Host will provide the back-end coordination and production for the Interview, including Interview logistics, set-up, video/audio recording platform, conference call lines, and will provide the replay links for any video and audio recordings that are shared with the audience. The Interview will be conducted via Zoom or other means, and Guest will receive an invite from the Host prior to the Interview.

• Promotion of Podcast Guest. Guest understands that the Interview Host may use the information that Guest has provided to promote and market the Interview before and/or during the Interview, including, but not limited to, my name, title, headshot and biography, in part or in full.

• Replay Link & Recording. Guest understands that the Host reserves the right to send out the replay link and recording to the audience for a limited time and/or for payment to Host. Guest understands that the Guest will be provided with a copy or link to the recording that the Guest may use without alteration on their website or for other purposes provided the entire content of the Interview is presented without alteration. Guest understands the Podcast Cover Image, Title, Description, and actual Interview recording must only be used in their original format and entirety, unless approved in writing by the Host and compensated according to prior written agreement by Guest and Host.

• Right to Reject the Interview. The Host reserves the right to decline from publishing or otherwise distributing the Interview for any reason.

NO COMPENSATION
The Guest agrees that they are providing the Interview and Interview Materials at no charge, and the Guest agrees not to request any monetary compensation from the Interview Host at any point in the future for the Interview, Event or any subsequent content derived therefrom

CANCELLATION OR RESCHEDULING OF THE INTERVIEW OR EVENT
Guest understands that should either of party need to reschedule or cancel the Interview, the best efforts will be made to provide notification to the other by email at least three (3) calendar days prior to the Interview, notwithstanding an accident or illness in which case the parties agree to give as much notice as possible. If the Interview needs to be rescheduled or canceled, the parties agree to reschedule the Interview as soon as possible.

INTELLECTUAL PROPERTY
The Guest agrees that the Guest’s Interview Materials will remain their intellectual property which may not be used by the Interview Host separately outside of the Interview without prior written approval, except as shown in any video or audio recording of the Interview.

The Guest grants the Interview Host a limited license to use the Interview Materials for marketing, promotional and other business purposes directly related to the Interview, but the Guest retains all other ownership and other intellectual property rights to the Interview Materials.

The Guest agrees that the Host is and will be the sole and exclusive owner of all right, title, and interest in and to the Interview and Event, including all copyrights and other intellectual property rights therein, in perpetuity throughout the universe. No other intellectual property rights are being provided or implied to the Guest other than the rights outlined in this Podcast Guest Consent Form.

The Guest agrees not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial, non-profit, or personal purposes the materials produced by the Host, or any of the content created during the Interview, except as otherwise provided herein.

The Guest agrees that the Host may add their logo or Event logo to the Interview Materials for purposes of the Interview.

The Guest grants to the Host full rights to distribute any video or audio recordings and written transcripts of the Interview globally in accordance with the terms of this Podcast Guest Consent Form.

MEDIA RELEASE
The Guest agrees to waive any rights of ownership or copyright in all content created before, during or after the Interview or Event by the Host, and the Guest hereby irrevocably permit, authorize, and license the Host to digitize, modify, alter, edit, adapt, create derivative works, display, publicly perform, exhibit, transmit, broadcast, reproduce, exploit, sell, rent, license, otherwise use, and permit others to use the content created during the Interview and Event, including Guest’s name, image, likeness, appearance, and voice as they appear in the Interview or Event, on a perpetual basis throughout the world and in any medium or format whatsoever now existing or hereafter created on any platform without further consent from or any royalty, payment, or other compensation to Host.

Further, the Guest hereby irrevocably permits, authorizes, and licenses Host to use Guest’s name, likeness, appearance, voice, professional and personal biographical information, and all materials created by or on behalf of the Interview Host that incorporate any of the foregoing, for the purposes of advertising and promoting the Interview on a perpetual basis throughout the world and in any medium or format whatsoever now existing or hereafter created on any platform, without further consent from or any royalty, payment, or other compensation to the Guest.

Guest also agrees that any content from the interview or promotional material related to the interview will be approved by Host prior to sharing on Guest’s website, social media, etc. This includes graphics, video and copy. Guest will refer to Host as “Linda J. Hansen” and tag Prosperity 101® and Linda J. Hansen on social media posts relating to the interview.

DISCLAIMER, ASSUMPTION OF RISK, PERSONAL RESPONSIBILITY, RELEASE OF CLAIMS
Care has been taken in preparing this Interview; however, the Host cannot be held responsible for any actions, errors or omissions and accepts no liability for any loss or damage related to the Interview. The Guest takes full responsibility for their actions and information provided before, during and after the Event, and hereby assume all of the risks related to the Event, whether or not such risks were created or exacerbated by the Interview or Host. The Guest fully and completely releases the Host, his/her heirs, executors, administrators and assigns, officers, directors, shareholders, employees, teachers, lecturers, agents, virtual assistants, and any other staff or team members of the Interview Host (collectively, the “Releasees”) from any and all liability, damages, causes of action, allegations, suits, sums of money, claims and demands whatsoever, in law or equity, against the Releasees, that the Guest may have had, now claim to have, or might possibly claim have in the future, arising from my participation in the Interview.

The Guest agrees to indemnify the Podcast host to make whole and hold harmless Host, its officers and directors, employees and its affiliates and their respective successors and assigns and each other person, if any, who controls any thereof, against any loss, liability, claim, damage and expense whatsoever (including, but not limited to, any and all expenses whatsoever reasonably incurred in investigating, preparing or defending against any litigation commenced or threatened or any claim whatsoever) arising out of or based upon any false representation or warranty or breach or failure by the undersigned in the participation and content contained in the Podcast interview.

CHOICE OF LAW, ARBITRATION AND LIMITED REMEDIES
The Guest represents and warrants to Host that the Guest is at least eighteen (18) years of age, and has full right, power, and authority to enter into this Podcast Guest Consent Form and grant the rights hereunder. This Consent Form shall be construed according to the laws of Wisconsin.

The Guest agrees to not engage in any conduct or communications, public or private, including on social media, that disparages the Interview, Event, Host and his/her owners, officers, directors, staff or team members, employees, or agents. Where required by law or arbitration, the Guest understands that they are not prohibited from sharing their thoughts and opinions as a part of the legal process.

If a dispute arises under this Agreement, the parties agree to first try to resolve the dispute with the help of a mutually agreed-upon mediator in Waukesha County, Wisconsin. Any costs and fees other than attorney fees associated with the mediation shall be shared equally by the parties. If it proves impossible to arrive at a mutually satisfactory solution through mediation, the parties agree to submit the dispute to a mutually agreed-upon arbitrator in Waukesha County, Wisconsin. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction to do so. Costs of arbitration, including attorney fees, will be allocated by the arbitrator.

By signing below, the Guest acknowledges that they have read, consent to, and accept all of the terms above.
